Job Description:

Summary / purpose of the position


This is a new strategic role in the Global Legal Assets and Brands Team, serving as the lead lawyer supporting legal affairs for all assets and brands in Ipsen’s portfolio and pipeline, including new assets acquired or licensed, and integration of corporate transactions.


Through the application of knowledge and expertise the individual will be expected to define and resolve complex issues which impact Ipsen’s assets and brands, but the individual must also be happy to ‘role their sleeves up’ and proactively provide day to day support to both the business and the legal team.


This role will deal with a wide range of business and transactional subjects with a strong focus on:



Providing strategic legal advice and support to the Research & Development, Global Medical Affairs, Global Regulatory Affairs, Global Patient Safety and Global Product and Portfolio Strategy teams.
Legal contact for legal affairs relating to transversal projects and activities (activities which involve more than one Ipsen therapeutic area).
Providing legal support to global projects and initiatives and to global teams, supporting transversal projects and activities.
Providing support to late-stage due diligence and integration activities of Ipsen’s corporate transactions (ranging from asset purchases, company acquisitions and licenses).
Providing support to the Head of Legal Affairs, Global Assets and Brands, on legal operations.
Representing the legal function in global and functional leadership teams.
Working closely and cross-functionally with the rest of the Global Legal team (primarily, Business Transactions, Global Technical Operations, IP, Business Ethics, Risk and Insurance).

Main responsibilities / job expectations



Provide strategic legal advice and support to  transversal activities, projects and transactions.
Provide strategic and general legal advice as needed to multiple teams across various countries and regions, including support to transversal projects and activities.
Draft, review, negotiate and execute a wide variety of contractual agreements typical to those executed in a pharmaceutical company across the life cycle of an asset. Including, but not limited to: confidentiality agreements, consulting agreements, service agreements, development, manufacturing, and supply agreements (clinical and commercial), clinical trial agreements, clinical services agreements,  master services agreements and services agreements, research and collaboration agreements, contracts with Healthcare Professionals and Patients/Patient Organisations. To ensure Ipsen’s exposure, contractual liability and risks are protected or mitigated whilst maximising Ipsen’s opportunities.

Advise on issues and opportunities during the life cycle of a contract and partnership, including, interpretation of contractual provisions. Advise on any impact to contracts and partnerships resulting from changes to Ipsen’s business and operational objectives, as well as legal or regulatory requirements.
Ensure Ipsen’s contractual relationships and activities comply with laws, regulations and industry standards, and applicable corporate codes and policies.

In partnership with senior and executive leaders, support the delivery of Ipsen’s strategic and operational plans through the provision of proactive and informed legal advice, and the implementation of solutions.
In partnership with internal and external integration teams, provide strategic advice and legal support for the integration of corporate transactions into Ipsen. 
Intervene, resolve, settle and/or escalate disputes in concert with in-house and external counsel when necessary. Including conduct of litigation, where required.
Manage external counsel, consultants, and external legal service providers.
Work with relevant business teams in the implementation of continuous improvement projects and initiatives and identify, manage, and mitigate risks by preventive counseling and solutions. 
Draft, review, improve, manage and maintain forms and template agreements, and provide internal training and guidance on internal use of such documents. 
Continuously monitor and analyze new and developing laws, regulations, and enforcement activity within the healthcare industry, and incorporate learnings into internal education and policy development. Provide internal trainings and presentations on legal issues and policies.
Collaborate effectively and work cross-functionally with other legal functions in the Global Legal team.
Collaborate with, and support, the Ethics and Compliance team and support an ethics and compliance culture in Ipsen across all its activities.
Interface with other support functions including Procurement, Finance, Insurance and Risk Management, Quality and Regulatory.

Knowledge, abilities & experience


Education / Certifications:/Experience:



6+ years PQE, in commercial and contract law in the life sciences industry across multiple geographies and jurisdictions.
Strong legal, regulatory, and commercial awareness of issues relating to the life sciences industry is required.  
Strong understanding of corporate transactions and integration activities in life sciences is required.
General understanding of laws and regulations related to Bribery, Corruption, Competition Law and Data Protection is required.
Experience in additional areas including IP is desirable.  

Languages:


Fluent in English and French (spoken and written).

Organized and adaptable. Able to work within short timeframes, dealing with a high volume of complex projects simultaneously, and prioritizing accordingly.
Strong verbal and written communication skills.
