COMMERCIAL COUNSEL EMEA
Your role at Talend:
The Commercial Counsel position represents a valuable role in Talend’s growing legal team and will primarily assist the Senior Commercial Counsel, EMEA & LATAM to support the Sales team in Europe, with a specific focus on support for direct and channel sales to the EMEA market. This position will review, draft, negotiate, and advise on a wide range of IT commercial agreements and matters, including our channel program (Resellers, System Integrators, Value Added Resellers), technology licensing, sales and marketing support and Research and Development (R&D) support.
In addition, the Commercial Counsel will occasionally assist the Senior Corporate Legal Counsel on the day to day tasks and matters related to the corporate life of the company.
The Commercial Counsel must be able to prioritize effectively and drive issues to resolution in a team environment focused on growth, execution, efficiency and process improvement. He or she must be able to provide a pragmatic, collaborative and solution-oriented legal support throughout the company.
Contract drafting, review, negotiation, and daily interaction with the Talend Sales, Sales Operations and Finance teams with specific emphasis on all areas related to sales and licensing.
Support the Talend direct Sales team and the Channel programs team.
Seamlessly collaborate cross-functionally with the Senior Commercial Counsel, EMEA & LATAM and the global Legal team on all issues related to European sales; liaison with various company stakeholders to assist with company initiatives, procedures, licensing and all contract-related matters. This is a cross-functional role that requires strong collaboration skills and a pragmatic sense of accountability.
Cooperate with and assist the Senior Corporate Legal Counsel on various legal matters related to the corporate life of the company (mergers and acquisitions, governance, drafting of legal documentation relating to board of directors’ meetings and annual general meeting, legal formalities, IP protection, and in general any issue relating to corporate law in France and abroad).
Advise internal stakeholders regarding legal and business issues, including identifying, managing and communicating risks and opportunities associated with specific agreements and business objectives and initiatives.
Anticipate, communicate, assess, guide, and propose mitigation strategies for internal stakeholders regarding potential risks in contractual and legal areas.
Contribute to ongoing process improvements and within the legal group.
A qualified legal counsel with a degree in Law. A post-graduate degree in IP, IT or Business Law is a plus.
Experience with direct and channel technology transactions in a fast-paced, agile and dynamic company.
Extensive experience with commercial agreements / license drafting, review, negotiation and analysis in support of European markets. Experience with corporate law issues is a plus.
5-years of in-house technology company experience in a similar international business. Prior experience in a law firm is a plus.
High level of personal integrity and ability to communicate compliance issues effectively.
Proven ability to manage communications in various time-zones and confidence in making independent decisions.
Developed business acumen, with ability to understand the company’s business and anticipate the nature and magnitude of issues that could arise in various settings.
Passionate about people with the ability to work in a multicultural environment, pragmatic and team-oriented.
Ability to work with Microsoft Office Suite, Concur, Legal Tracker, Netsuite and Salesforce.
Demonstrated fluency in spoken and written English and French. Fluency in Spanish, Italian, or German is a plus.
